The State Road Agency of Ukraine "Ukravtodor", hereinafter referred to as "the Employer", intends using the proceeds of a loan from the European Bank for Reconstruction and Development towards the cost of Pan-European Corridors Project (Rehabilitation of Road Approaches to Kiyiv).

The Employer now invites sealed Tenders from Contractors for an Output- and Performance-based Road for the M06 Highway Kyiv to Chop Contract 1 (Km 702+424 - Km 831+704), and Contract 2 Km 434+230 – Km 702+424, which shall include the following specific Works and Services:

a) Repair Works consisting of works designed to remedy existing defects and to bring the Road to a condition in which it may be substantially maintained by routine maintenance and periodic maintenance for the duration of the Contract.

b) Improvement Works consisting of a set of interventions that add new characteristics to the Road in response to existing or new traffic, safety or other conditions specified by the Employer in the Contract, for example: road lighting, safely barriers and vehicle weighing stations.

c) Periodic Maintenance Works consisting of works to be designed, estimated and carried out by the successful Contractor periodically in order to maintain the Road operational performance service levels defined in the Contract. The total cost of the Periodic Maintenance Works in aggregate shall not exceed a Provisional Sum reserved for this purpose in the Contract and shall be carried out by the successful Contactor in each year as may be agreed by the Employer on the basis of the Contractor's annual work programme.

d) Maintenance Services or "Services" consisting of all interventions on the Roads, including Winter Services, which are to be carried out by the successful Contractor in order to achieve and keep the Road operational performance service levels specified in the Contract, and all activities related to the management and evaluation of the Road. The Maintenance Services shall be payable based on firm monthly lump sum installments subject to the attainment by the successful Contractor of the Road performance standards. The Time for Completion of the Services shall be five years (60 calendar months).

e) Emergency Works consisting of activities needed to reinstate the Roads and reconstruct their structure or their right of way which has been damaged as a result of natural phenomena with imponderable consequences, such as strong storms, flooding, and earthquakes. Emergency works shall be payable as individual lump sums embodied in Work Orders of the Project Manager following proposals of the Contractor in each case and based on a schedule of rates included in the Contract.

All of the above Works and Services shall be priced by the Tenderers in the Bill of Quantities, which shall include lump-sum rates for the Maintenance Services and unit rates for the Repair and Improvement Works, Periodic Maintenance Works and for Emergency Works, which shall be payable on a re-measurement basis.

Upon receipt of appropriate evidence of payment of the non-refundable fee, the documents will promptly be dispatched by courier; however, no liability can be accepted for their loss or late delivery. In addition, if requested, the documents can be dispatched electronically after presentation by the prospective tenderer of an appropriate evidence of payment of the non-refundable fee. In the event of discrepancy between electronic and hard copies of the documents, the hard copy shall prevail.

A two stage Tendering Procedure will be adopted for the procurement of the above-named Contract and will proceed as follows:

a) The First Stage Proposal will include a Technical Proposal comprising a description of the approach that the Tenderer will take for the delivery of the Works and Services, focusing on the arrangements for the management, including the planning, coordination, monitoring, subcontracting, if any, and control of all activities so as to ensure attainment and sustainability of the Management and Operational Performance Service Levels set out in the proposed Contract to ensure satisfactory execution of that Contract.

The Tenderer's First Stage Proposal shall also include commentary on the proposed Contract, a list of any deviations or reservations to the technical and commercial conditions set forth in the Tender Documents. The Tenderers shall also demonstrate, on the basis of the information submitted in the First Stage Proposal, with the specific reference to the description of the approach that the Tenderer will take to the delivery of each specific component of the Works and Services included in the Technical Proposal, that the Tenderer has sufficient relevant experience and is substantially qualified and capable to deliver the Works and Services under the Contract.

Following preliminary evaluation of the First Stage Proposals the Employer will reject Tenderers submitting Proposals containing material deviations, reservations, or omissions as these may be determined in accordance with the criteria set forth in the Tender Documents and/or failing to meet substantially the qualifying criteria set forth in the Tender Documents. Each Tenderer whose First Stage Proposal is rejected at this stage will be given the opportunity to attend a debriefing meeting during which the Tenderer will be in a position to clarify the grounds on which its Proposal was not selected by the Employer for further consideration.

All other Tenderers will be invited either to submit a priced Second Stage Tender or to take part in a clarification meeting during which the Tenderer's First Stage Proposals will be reviewed and all additions and modifications required by the Employer and agreed by the Tenderer will be noted and recorded in the Tenderer-specific Memorandum.

b) The Second Stage Tender will consist of an updated Proposal, incorporating all additions and modifications as may be agreed between the Employer and the Tenderer and recorded in the Memorandum to the clarification meeting, and the commercial Tender, which shall include the priced Bill of Quantities. Second Stage tenders will have to be accompanied by a tender security of Euros 70,000 in the form stipulated in the Tender Data Sheet.

The Works and Services are being procured on a 'slice and package' under which Tenderers may submit bids for either contract, or both. To be qualified to be invited to submit a Second Stage Tender, Tenderers shall satisfy the qualification criteria specified in the tender documents, including but not limited to, the following minimum qualifications.

1. General Experience:

(a) Average annual turnover as prime contractor (defined as billing for works in progress and completed) over the last three (3) years of not less than the amount shown, of which at least 60% shall be represented by road related works.

One Contract only (Contract 1 or Contract 2): EURO Forty million (€ 40,000,000) or equivalent

Two Contracts (Contract 1 & Contract 2): EURO Fifty million (€ 50,000,000) or equivalent

(b) Financial Position. The tenderer shall demonstrate that it has access to, or has available, liquid assets, unencumbered real assets, lines of credit and other financial means in the amount shown, taking into account the tenderer's commitments for other contracts;

One Contract only (Contract 1 or Contract 2): EURO Five million (€ 5,000,000) or equivalent

Two Contracts (Contract 1 & Contract 2): EURO Ten million (€ 10,000,000) or equivalent

Tenderers should note that, if they are invited to submit a second stage tender, they will be required to demonstrate that they have access to, or have available, liquid assets, unencumbered real assets, lines of credit and other financial means appropriate to their chosen delivery strategy as set out in their technical proposal, taking into account their commitments for other contracts;

2. Particular Experience:

(a) Successful experience as management contractor, prime contractor or lead consultant in the execution or supervision of road construction or improvement works with a total work in progress on at least the aggregate length of road shown in each of the last five (5) years;

One Contract only (Contract 1 or Contract 2): Fifty kilometres (50 km) of major (trunk) road or motorway

Two Contracts (Contract 1 & Contract 2): One hundred kilometres (100 km) of major (trunk) road or motorway

(b) Proven experience as management contractor, prime contractor or lead consultant in preparing detailed Engineering Designs and Bills of Quantities for the following works in each of the last five (5) years:

i. aggregate work in progress on at least the length of major (trunk) road or motorway rehabilitation works shown, including pavement rehabilitation works involving techniques such as recycling, inlay and overlay, thin modified bituminous surfacing and surface treatments;

One Contract only (Contract 1 or Contract 2): Fifty (50) km

Two Contracts (Contract 1 & Contract 2): One hundred (100) km

ii. aggregate work in progress on repair and rehabilitation of at least, the number and type of bridge shown, including replacement of bearings and expansion joints, deck repair and replacement and repairs to substructures and entraining works;

One Contract only (Contract 1 or Contract 2): Ten (10) road bridges in reinforced and prestressed concrete of minimum 20 m span

Two Contracts (Contract 1 & Contract 2): Twenty (20) road bridges in reinforced and prestressed concrete of minimum 20 m span

iii. repair and rehabilitation of ancillary works including safety fences and guard rails, road signs and markings, road lighting installations and electrical supplies.

One Contract only (Contract 1 or Contract 2): Required

Two Contracts (Contract 1 & Contract 2): Required

(c) Proven experience as management contractor, prime contractor or lead consultant or lead consultant in carrying out or supervision of the following road maintenance works within the last seven (7) years:

i. Routine maintenance of at least the length of road shown, including maintenance of roads, bridges and associated infrastructure in similar terrain and climate to the present project and spanning at least three years during the period; and

One Contract only (Contract 1 or Contract 2): 100 km of major (trunk) road or motorway

Two Contracts (Contract 1 & Contract 2): 200 km of major (trunk) road or motorway

ii. Winter maintenance of at least the length of road shown including operation of control centre, management of communications and media information, snow and ice clearance and traffic management in climatic conditions similar to the present project area with minimum temperatures as low as - 30oC and spanning at least three years during the period.

One Contract only (Contract 1 or Contract 2): 100 km of major (trunk) road or motorway

Two Contracts (Contract 1 & Contract 2): 200 km of major (trunk) road or motorway

All Tenderers must satisfy all of the minimum criteria for General and Particular Experience above. Tenderers comprising an intended or existing joint venture, consortium, or association (JVCA) must satisfy the general criteria collectively with the lead partner meeting not less than 40% of the above criteria. If a Tenderer does not possess sufficient or any in-house experience falling within any of the Particular Experience qualification criteria; then the experience and qualifications of proposed specialist subcontractors shall be taken into account for the evaluation purposes, subject to firm commitments from such subcontractors of their readiness to participate. In addition to the above minimum criteria, Tenderers shall be expected to demonstrate that they will be qualified and capable of the execution of the proposed Contract or Contracts in accordance with their own Technical Proposal.

The First Stage Proposal must be delivered to the office at the address below on or before 2 p.m. 07 October 2011, at which time they will be opened in the presence of those Tenderers' representatives who choose to attend.

Tenderers are informed that routine and winter maintenance services for all roads in Ukraine are presently provided by affiliates of the State Joint Stock Company "Roads of Ukraine". This company is owned by the Government of Ukraine through the Ministry of Infrastructure and, as such, is ineligible to participate in the tender. The company is eligible and willing to provide support to tenderers under a range of commercial arrangements, including but not limited to sub-contracting.

Such arrangements would promote and facilitate technology transfer in the road sub-sector in Ukraine and would be welcomed by Ukravtodor. There is however no obligation whatsoever for tenderers to associate with the State Joint Stock Company "Roads of Ukraine" in any way. Neither Ukravtodor nor any other organisation of the Government of Ukraine will intervene in any way in any commercial or contractual arrangement between a tenderer and the company, either before or after award of contract, and the tenderer shall retain sole responsibility for any issues arising out of any such arrangement.
